BP acquired a 50% non-operated interest in both the Empire Wind and Beacon Wind assets from Equinor for a total combined consideration of USD 1.1 billion. The transaction was announced September 10, 2020 and closed January 29, 2021, with an effective date of January 1, 2020. The Empire Wind lease (OCS-A 0512, won by Equinor/Statoil in a BOEM auction for USD 42.47 million in December 2016) encompasses both Empire Wind 1 (810 MW, contracted) and Empire Wind 2 (1,260 MW). The Beacon Wind lease (OCS-A 0520, ~128,000 acres, 2.4+ GW potential) is treated as a separate portfolio asset. The USD 1.1 billion covered all four project development assets (Empire Wind 1, Empire Wind 2, Beacon Wind 1, Beacon Wind 2) and the South Brooklyn Marine Terminal lease. At USD/EUR 0.88 (2020 announcement rate): USD 1,100m = EUR 968m for the combined Empire + Beacon Wind portfolio. Equinor remained operator. Post-transaction: Equinor 50%, BP 50% of Empire Wind 1, Empire Wind 2, Beacon Wind 1, Beacon Wind 2. NOTE: The USD 1.1bn was BP's upfront equity entry cost only; BP also committed to fund 50% of all future development and construction capex (multi-billion). Total economic exposure far exceeds the headline USD 1.1bn. BP subsequently took ~USD 1.1bn of impairments on the portfolio (2023-2024) before exiting via swap.

Equinor and BP announced a portfolio swap on January 25, 2024 (effective date January 1, 2024; closed April 4, 2024). Under the swap: Equinor took 100% ownership of the Empire Wind lease and projects (Empire Wind 1 and Empire Wind 2) and BP's 50% of the South Brooklyn Marine Terminal (SBMT) lease. BP took 100% ownership of the Beacon Wind lease and projects (Beacon Wind 1 and Beacon Wind 2). The transaction was described as "cash neutral, except for standard settlements of cash and working capital items." BP took a pre-tax impairment charge of approximately USD 600 million on its exit from Empire Wind; Equinor recognised a combined loss of approximately USD 200 million. The swap reflected diverging strategies: Equinor continued FID process on Empire Wind 1 (FID taken later in 2024; financial close December 2024 at USD 3 billion). BP (later rebranding US assets through JERA Nex bp JV) retained Beacon Wind.
